What acquisition paperwork belongs in the preparation file?

Collect records establishing the actual corporate relationship, operations and employment continuity, together with the proposed duties. Ask counsel which transaction documents or extracts are needed and how confidentiality should be handled. A structure chart can explain the chain but may need underlying ownership or control evidence; do not assume it replaces transaction records.

Ask for extracts, not the deal room

Corporate counsel can usually provide a signed structure chart and a short confirmation of ownership percentages and dates, which is far easier to obtain than a purchase agreement and easier for a reviewer to read. Where a document is confidential, record what it establishes and who can confirm it. Track which items are held, which are requested, and which the employer has declined to release, so the real state of the evidence is visible.

Add one instruction that makes those extracts far more useful: ask corporate counsel to state the position at two dates rather than one — immediately before closing and as things now stand — because the chain that matters may have existed only after the transaction, or may have changed again during integration. A single current chart invites the assumption that it always looked that way. Note the date on the face of each document.

Hypothetical example: a garment-fit and grading specialist's file contains a signed structure chart dated after an internal reorganisation that followed the acquisition, and obtaining a second chart showing the position at closing takes one email and answers a question the first chart would have raised.
