Comparing L1 and E2 when several decision-makers are involved remotely

THE SHORT ANSWER

When a decision involves several stakeholders participating remotely — a foreign parent company's leadership, a local business partner, an applicant relocating — the comparison between L1 and E2 has to account for who controls which piece of evidence and who can commit to it. L1 evidence usually sits with corporate officers on both sides of the relationship. E2 evidence usually sits with whoever controls the investment funds and the business plan. Remote coordination works best when each stakeholder's role in the file is defined early. The two categories also differ in what must keep being true, which is worth agreeing among stakeholders before either is chosen. L-1A permits a maximum period of stay of seven years and L-1B five, and both depend on the qualifying relationship persisting. E-2 has no equivalent maximum but requires treaty ownership, capital that remains at risk and the investor's control to continue throughout.

Assign ownership of each evidentiary piece

For L1, the foreign entity's leadership typically controls proof of the qualifying relationship and the applicant's prior role, while the U.S. entity controls proof of the position being offered. For E2, the person or entity controlling the capital typically controls proof that funds are committed and at risk, while whoever is drafting the business plan controls the nonmarginality narrative. In a remote consultation, confirm early who can actually produce each document rather than assuming it exists. Ask each owner whether the document exists today or would have to be created, and record the answer, since the two cases behave completely differently under time pressure. Existing documents can be gathered in parallel; documents that require a board meeting, a valuation or a translation impose their own sequence. A map that does not distinguish between the two reads as a plan and behaves as a surprise.

Resolve control and direction questions before drafting

E2 requires the applicant to control, develop or direct the enterprise, which can be harder to demonstrate cleanly when several remote stakeholders share decision-making authority; the file needs to show the applicant's specific authority, not just involvement. L1 requires the U.S. role to be genuinely managerial, executive or specialized-knowledge, which can also be complicated by a flat or shared reporting structure. Clarify the actual decision-making chain before either narrative is written. Settle the treaty nationality question in the same conversation, because ownership and nationality are separate facts and only one of them appears on a share register. Where shares are held through corporate vehicles, the nationality question follows the individuals behind them, so ask for the register to be produced with both columns and dated. A shared decision-making structure that satisfies the parties commercially can still leave the develop-and-direct requirement unmet, and that is better established before drafting than after.

Build a single coordination record

Keep one shared timeline of who confirmed what and when, since remote participants across different time zones or entities can otherwise produce conflicting drafts. Treat this record as internal planning, not a filing document. Have a qualified attorney reconcile the final file against the specific requirements for whichever category is pursued, since a well-coordinated record does not by itself establish eligibility. Hypothetical example: a partnership operating a seed-cleaning plant is weighing a transfer against an investment case, with three partners contributing to the file from different locations. A first review would keep one dated record of who confirmed what, then run both categories against those confirmed facts rather than against each partner's understanding. Where the two categories point to different partners as the applicant, that finding is more useful than any comparison of the categories in the abstract.
