L1 versus E2 when the employer has little administrative support

THE SHORT ANSWER

A small employer without a dedicated immigration or HR function faces different burdens under each category. L1 places documentation weight on the corporate relationship and the foreign role history, which a small company must assemble itself. E2 places weight on demonstrating the investment is real, committed and adequate to run the business, which a small company can often document more directly from its own accounts. Neither route removes the need for accurate paperwork, but the source of that paperwork differs. The two also differ in what has to keep being true, which matters more to a small employer than the filing burden does. Time in L-1A is capped at seven years and in L-1B at five, and in both the qualifying relationship has to survive for the whole period. E-2 carries no comparable cap, but treaty ownership, capital left at risk and the investor's control must all continue. Neither confers permanent residence.

Map who can produce each required document

For L1, someone must produce organizational charts, ownership records and evidence of the foreign entity's operations, often spanning two jurisdictions. A small employer without in-house counsel may need to gather this from accountants, corporate registries and payroll records held abroad. For E2, the core evidence — bank transfers, lease agreements, business plan, equipment purchases — is usually already in the applicant's own hands, which can reduce the number of external parties needed to assemble a complete file. Ask, of each document, whether it exists today or would have to be created, because the two behave completely differently under time pressure. A bank transfer confirmation and a signed lease can be produced in a morning; a certified registry extract from another jurisdiction, a translation or a board resolution cannot. It is also worth asking who physically controls each item, since a record held by an accountant abroad with no involvement in the transfer typically takes several times longer to obtain than one in the applicant's own file.

Consider ongoing compliance capacity, not just filing capacity

L1 new office petitions invite follow-up scrutiny about staffing growth and physical premises over the following year, which assumes some ongoing administrative tracking. E2 status is tied to maintaining the investment as substantial and non-marginal, which also requires the business to keep growing toward real operations rather than remaining a passive holding. A small employer should ask which ongoing obligation it can realistically track without dedicated staff before choosing either path. Be specific about what each ongoing obligation actually requires of a small team. For a new office, the first year produces the evidence an extension is assessed against, which means someone has to record hiring, premises and the transferee's real duties as they happen. For an investment case, the enterprise has to remain real, active and more than marginal, and the investor's control has to persist, generally through ownership of at least half the business or operational control by another mechanism.

Do not let convenience substitute for eligibility

A route should never be chosen because it appears to require less paperwork; it should be chosen because the underlying facts — corporate relationship and role for L1, or treaty nationality and committed investment for E2 — are actually present. A small employer should have a qualified attorney confirm eligibility before assuming that lighter administrative burden also means a stronger case. Hypothetical example: an owner-operator of a small tooling business prefers the investment route because the paperwork appears lighter, without having established who holds treaty nationality among the shareholders. A first review would settle that question before any comparison, since it is binary and answerable in minutes, and would separately test the qualifying year abroad and the character of the proposed role for the transfer route. The lighter file is worth nothing if the facts underneath it are not present.
